Honeywell International Inc. is considering walking away from its acquisition of Johnson Matthey Plc’s Catalyst Technologies business, people familiar with the matter said.

The industrials conglomerate is weighing the move because of concerns over regulatory approvals and business milestones, the people said, asking not to be identified discussing confidential information.
